1. Acceptance of Terms
By using ClearLedgerHQ, you agree to these terms. If you do not agree, please do not use our service.
2. Description of Service
ClearLedger provides software tools that connect with QuickBooks Online to support financial analysis, data-readiness review, specialist review workflows, and related financial evidence organization. ClearLedger is intended for businesses and advisors using supported QuickBooks Online workflows. Software features may include Analysis Readiness and specialist workflows such as CLEAR R&D and CLEAR Trade. Not every feature is available to every user. Certain features may be available only through private beta or limited access, may change, and may be modified or discontinued. CLEAR R&D provides AI-assisted, estimate-level review of potential Canadian SR&ED and U.S. federal R&D tax-credit opportunities, including IRC §41 context; it does not determine eligibility or prepare or file claims. ClearLedger CFO Advisory is a separate, human-led professional service. Its scope and deliverables are defined by a separate engagement or agreement and are not automatically included with software access.
3. User Responsibilities
You are responsible for maintaining the security of your account credentials. You must provide accurate information and comply with QuickBooks Online's terms of service. You must not use ClearLedgerHQ for any unlawful purpose.
4. Tax Credit Information Disclaimer
ClearLedger software provides analysis and decision-support tools; it does not provide legal, tax, investment, or audit advice and does not replace review by qualified professionals. Analysis Readiness is not an audit, bookkeeping grade, or financial-health score. CLEAR R&D provides AI-assisted suggestions and estimate-level review support only. CLEAR R&D does not determine tax-credit eligibility, and estimates are not filing-ready calculations. Results are preliminary; ClearLedgerHQ does not prepare or file a tax claim. Canadian SR&ED and U.S. federal R&D tax-credit frameworks are separate and require their own professional assessment. Outputs may be incomplete or inaccurate and depend on source-data quality and availability. Professional review remains necessary. A qualified tax professional should review the underlying records, technical context, eligibility, calculations, and any formal claim before filing. ClearLedgerHQ is not liable for any tax filing decisions made based on our estimates.
5. Intellectual Property
ClearLedgerHQ and its original content, features, and functionality are owned by Top Web Zone and protected by international copyright laws.
6. Limitation of Liability
ClearLedgerHQ shall not be liable for any indirect, incidental, or consequential damages resulting from your use of our service. Our liability is limited to the amount paid for the service in the last 12 months.
7. Termination
We reserve the right to terminate or suspend access to our service immediately, without prior notice, for conduct that we believe violates these terms.
8. Governing Law
These terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be resolved in the courts of Montreal, Quebec.
9. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of significant changes via email.
